General terms
1. Scope and Validity
All services – including development, consulting, research, programming, design, implementation, etc. – are provided by the supplier (hereafter “Webnorth”), regardless of whether Webnorth acts as the primary or subcontractor. Any client-provided terms (e.g., in proposals, purchase orders, or procurement terms) are not considered valid unless explicitly accepted in writing by Webnorth.
2. Services
Webnorth delivers the services specified in a separate agreement (hereafter “the Agreement”). Webnorth is entitled to use subcontractors to fulfill its obligations.
If the solution includes third-party software or other materials not owned by Webnorth, the client is responsible for entering a separate agreement with the third party.
Services are considered delivered upon handover and client acceptance. Webnorth is responsible until handover, after which responsibility transfers to the client.
Project timelines are indicative and non-binding unless otherwise agreed. Delays caused by the client or third parties may affect the schedule and final deadline.
2.1 Process
Delivery Acceptance
The client has 14 days after delivery to request changes or approve the delivery. Lack of response constitutes automatic acceptance. Revisions must be submitted collectively. Once the changes are implemented, the project is considered accepted.
The solution may remain on a staging server for up to 30 days. After that, a service and hosting agreement must be activated. If no agreement is in place, the solution will be moved to a different server at the client’s expense (DKK 850/hour excl. VAT).
A 3-month full warranty is provided. With a service and hosting agreement, the warranty continues — the scope is defined in the agreement.
Public
Webnorth is not liable for delays caused by third parties (e.g., Apple, Google, hosting providers). The client is responsible for any additional budget in case of third-party rejections. Webnorth is not liable for incompatibility with third-party hosting; the client must ensure the server meets Webnorth’s technical minimum requirements. A service and hosting agreement is recommended.
2.2 Services Not Included: Text, Images, and Other Content
- Content insertion is not included unless specified in the project scope.
- Graphics must be delivered as editable vectors; images in high resolution.
- Stock images are not included unless otherwise stated.
- If content production is needed, Webnorth can refer to partners.
2.3 Hours and Vouchers
Services
All tasks follow an approved budget and specification. If a task cannot be completed within the estimate, Webnorth may provide a re-estimate and propose new terms.
The client can:
- Accept the new estimate
- Decline the estimate (the task is dropped)
- Request an alternative solution (outside scope)
Vouchers must be prepaid. Webnorth estimates all tasks over five hours. Work is only performed within the estimated scope. Vouchers are non-refundable.
2.4 Publication Responsibility and Rights
Webnorth does not obtain licenses or rights for third-party materials. The client is responsible for ensuring rights to all content used on their platform.
2.5 Server
When using the Client’s own server, Webnorth assumes no responsibility for functionality or compatibility. This results in additional work, which will be billed according to the clip card system.
3. Client Collaboration
The client is obligated to provide the information necessary according to the agreement.
The client must designate one contact person responsible for all communication with Webnorth and who has the authority to enter into binding agreements on behalf of the client.
4. Data Protection & GDPR
The client is responsible for having a valid Data Processing Agreement (DPA). Webnorth can assist in drafting one, billed by the hour.
5. Other Expenses
Travel time is billed at the full hourly rate. Work outside normal working hours may be billed at an elevated rate, stated in the agreement.
6. Payment Terms & Ownership
The client must provide all necessary billing details without delay. Payment is due within 14 days of invoice unless otherwise agreed. Late payments incur 1.5% monthly interest after 5 business days’ written notice.
If payment is overdue, Webnorth may suspend work and bill for extra time and related costs. In cases of material breach (e.g., unpaid, undisputed invoices after 30 days and final written reminder), Webnorth may terminate the agreement. Webnorth will not store client data, materials, or assets in such cases.
Any special payment terms must be outlined in the project or service agreement.
7. Confidentiality
Webnorth agrees to treat client information confidentially if requested.
The client must treat Webnorth’s information as confidential unless publicly available.
Confidentiality remains in effect after the agreement ends.
8. Support
Unless otherwise agreed, support outside the scope of the service agreement is billed hourly. Webnorth is available on weekdays between 9 AM–4 PM (CET).
Support included in a service and hosting agreement is available via email and phone during the same hours.
9. Complaints
The client must inspect the deliverables within 30 days. Any issues must be reported in writing, including details and impact. Failure to complain in time forfeits the right to claim.
Webnorth is not responsible for how the client uses the solution or for legal or regulatory compliance.
Webnorth is not liable for third-party software, standard solutions, or methods and does not guarantee them.
10. Product Liability
Webnorth is liable under the Danish Product Liability Act.
11. Limitation of Liability
Except in cases of willful misconduct, gross negligence, legal breach, or confidentiality violations, Webnorth is not liable for indirect losses such as loss of business, data, goodwill, corrupted communication, or missed savings.
Webnorth’s liability is limited to 25% of the total fee received for the specific service — capped at DKK 200,000 excl. VAT.
12. Intellectual Property
Webnorth retains all rights to deliverables and their results and may sublicense them to third parties, subject to relevant third-party licenses.
The client does not have exclusive rights to code, knowledge, etc., unless stated in a separate agreement with financial compensation.
Open-source solutions (e.g., WordPress) are subject to the GPL license.
13. Marketing
Webnorth may use the client as a reference and display their logo on its website unless otherwise agreed.
14. Project Cancellation
The client may cancel an ongoing task at any time but is liable for all work and expenses incurred up to the point of termination.
15. Force Majeure
Webnorth is not liable for delays or failure to deliver caused by unforeseen circumstances beyond its control, such as war, strikes, illness, natural disasters, supplier issues, or technical breakdowns.
16. Governing Law & Jurisdiction
Any dispute between Webnorth and the client shall be governed by Danish law, excluding conflict-of-law rules. The dispute shall be settled by the ordinary courts of Denmark.
